These Terms govern your use of the Azimuth flight-club management service (the "Service") operated by [Your Legal Entity Name]. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
IMPORTANT — aviation involves inherent risk. Section 6 contains an assumption of risk and a limitation of our liability. Read it carefully. [Have this section reviewed by an Alberta lawyer before relying on it.]
1. The Service
Azimuth is software that helps flight clubs manage members, aircraft, scheduling, dispatch, flight logging, maintenance tracking, and recordkeeping. We provide the software; your flight club ("the Club") operates aircraft and flight activities. We do not operate aircraft, provide flight instruction, or act as an air operator.
2. Eligibility and accounts
You must be old enough to form a binding contract in Alberta (or have parental/guardian consent) and be an authorized member or staff member of a Club that uses the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Payments are handled by your Club
The Service does not process payments. Membership dues, aircraft rental, instruction, and other charges are billed and collected by your Club directly, on-site or by arrangement with the Club, outside the Service. Any balances or transactions shown in the Service are records maintained by the Club for convenience and are not a payment mechanism. Disputes about charges are between you and your Club.
4. Bookings, cancellations, and Club rules
Reservations, scheduling priority, cancellation windows, no-show handling, currency requirements, and aircraft checkout procedures are set by your Club. You agree to follow your Club's operating rules and any applicable scheduling and cancellation policies. The Service may enforce certain Club-configured rules (for example, minimum booking length), but the Club's rules govern.
5. Acceptable use
You agree not to:
- enter information you know to be false, including pilot credentials, medical status, or flight times;
- access data or accounts you are not authorized to access, or attempt to defeat the Service's security or access controls;
- use the Service to harass, abuse, or harm others, or for any unlawful purpose;
- disrupt, overload, scrape, or reverse-engineer the Service except as permitted by law.
You remain solely responsible for determining the airworthiness of any aircraft and your own legal currency and fitness to fly. The Service's data (including currency reminders and weight & balance calculations) is provided to assist you and must not be relied on as a substitute for your own checks and the pilot-in-command's authority and responsibility.
6. Assumption of risk; disclaimers; limitation of liability
Aviation is inherently dangerous. The Service is a recordkeeping and scheduling tool only. It does not assess airworthiness, guarantee the accuracy of any aircraft, member, weather, or weight & balance data, and must never be used as the sole basis for a flight or safety decision.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the fullest extent permitted by law, [Your Legal Entity Name] is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from flight operations, aircraft use, reliance on Service data, or service interruptions. Our total aggregate liability for any claim relating to the Service is limited to [the amount you paid us for the Service in the 12 months before the claim, or CAD $100 if you paid nothing]. Nothing in these Terms limits liability that cannot be limited under applicable law. [Lawyer review recommended.]
7. Indemnity
You agree to indemnify and hold harmless [Your Legal Entity Name] from claims, losses, and expenses arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party right, to the extent permitted by applicable law.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we handle personal information under Alberta's PIPA. By agreeing to these Terms you confirm you have read the Privacy Policy.
9. Suspension and termination
Your Club may suspend or end your access by changing your membership status. We may suspend or terminate access to protect the Service or comply with law. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 6, 7, and 10) survive.
10. Governing law and disputes
These Terms are governed by the laws of Alberta, Canada and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts of Alberta, except where applicable consumer-protection law gives you other rights.
11. Changes to these Terms
We may update these Terms from time to time. When we make a material change we will revise the version and effective date above and, where appropriate, ask you to review and re-accept. Continued use of the Service after a change means you accept the updated Terms.
